CONSTITUTION AND BY-LAWS
OF TACC-FRIENDS INTERNATIONAL ASSOCIATION, INC.

PREAMBLE.
TACC-Friends International Association Inc, is an association of Christians belonging to The Apostolic Church Cameroon (TACC), living in the Diaspora and other interested persons henceforth referred to as ‘Friends’. Our vision is to support TACC to be relevant and effective in today’s world as she delivers her God-given assignment to the world.
Our mission:
- Assemble, empower and mobilize TACC Christians world-wide.
- Assist the poor, widows, orphans and the persecuted.
- Facilitate partnerships between TACC and other individuals and organizations.
- Contribute financial resources and material equipment to TACC.


CONSTITUTION.

ARTICLE and Purpose.
Section name of this organization shall be the TACC-Friends International Association, Incorporated; TACC-Friends International Association Inc.; TACC-F Int’l Assoc, Inc.; TACC-F I. A. Inc.
Section purpose of this Association is to empower TACC Christians in the Diaspora to Resource and Equip The Apostolic Church in Cameroon.

ARTICLE
Section members of this Association shall be of three classes, which are: Founding, Active and Honorary members.
Section 2.—Founding Members. Founding Members are those who from the beginning have been actively involved in the creation of this association. Their membership shall remain for the life of the association unless they so choose to opt out. Or are voted out by the founding members.
Section Members. Any Christian affiliated with TACC, and other Christians with a missionary burden, may become active members upon the decision of the Executive Committee. Active Members alone shall have the right to vote, and be eligible to executive office.
Section Members. Well regarded Christian leaders in TACC and other Christian ministries; individuals (non-members) or groups who have made significant moral, material and financial contributions are eligible to become honorary members. Honorary Members may be accepted by a vote of at least two-thirds of the members in the executive board.


ARTICLE
Section executives of this Association shall be a President, a Vice President, a General Secretary, a Financial Secretary, a Chaplain, a Treasurer, a Public Relations Officer, and appointed Advisers. These shall constitute the Executive Committee of the Association.
Section officers (except in the case of the advisers) shall be nominated and elected by a simple majority of active members present at the general assembly.
Section 3. --Term of Office--The term of an office shall be for 5 years. There will be no term limits.
Section in office may be filled by the Executive Committee until the next regular period of election.
Section 5. -- The founding members are ex-officio members of the executive committee. The founding members are allowed to vote if they’re in good standing.
Section 6. -- The founding members shall contribute $ for couples and $ for singles annually.


ARTICLE of Officers.
Section It shall be the duty of the president to preside at all meetings of the Association and of the Executive Committee, and to preserve in strict exercise the Robert Rule of order. It shall also be the duty of the President to present at the close of his term a report of the doings and progress of the Association. The president shall serve a five year term and can also be eligible for re-election.
Section President. The Vice President shall assist the President, when necessary, in preserving order, and in his absence, shall preside.
Section 3.—General duties of the General Secretary shall be to give notice of all meetings of the Association and of the Executive Committee, to attend said meetings, keep a correct record of proceedings thereat, and notify all Officers and Committees of their appointment. He shall, moreover, register the names, places of residence, and denomination of each member, also stating to which class of members he/she may belong. The secretary will also serve as assistant to the financial secretary.
Section Secretary. The Financial Secretary shall keep all the financial records of the association. The Financial Secretary shall also be the Assistant Secretary of the organization.
Section 5.— Treasurer. The Treasurer shall collect all the funds due the Association, and disburse the same; he shall keep a correct account of his transactions, and report to the Executive Committee, when so required, and to the Association at the close of his term.
Section 6. —The chaplain will be responsible for all prayer, devotional and spiritually related activities of the association. He may also assign an executive to assist in his stead.
Section 7. —The Public Relations Officer (PRO). The PRO will be the face of the association to the public. He will be responsible to liaise between the association and the public or any church organization.
Section Committee. The Executive Committee shall appoint from its own members, officers of the association. They shall present appointed officers to the General Assembly for approval. The executive committee shall also appoint committees from members of the association to handle special projects as necessary.

ARTICLE
This Constitution may be altered or amended by the concurrence of two thirds of the members voting at any quarterly meeting, provided such alteration or amendment be proposed at a meeting held at least one month before.
